Terms of Service

These Terms of Service ("Terms") govern your access to and use of contextprompt ("the Service"), operated by contextprompt ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
contextprompt is a software-as-a-service platform that sends an AI-powered bot to your online meetings (Zoom, Google Meet, Slack Huddles, Microsoft Teams), transcribes the conversation, analyzes connected code repositories, and extracts structured coding tasks using artificial intelligence. The Service includes a web dashboard for managing meetings, repositories, and extracted tasks.
2. User Accounts
2.1 Registration
You must create an account to use the Service. You may register using an email address and password, or through Google OAuth. You must provide accurate and complete information and keep your account credentials secure.
2.2 Account Responsibility
You are responsible for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.
2.3 Account Eligibility
You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement and have the authority to enter into these Terms.
3. Plans and Payment
3.1 Free Plan
The Free plan provides access to the Service with a recording limit of 1 hour per calendar month at no cost. The Free plan includes core features: meeting bot recording, transcription, repository connection, and AI task extraction.
3.2 Pro Plan
The Pro plan is available for $30 per month, billed monthly. It includes up to 15 hours of recording time per calendar month, priority processing, GitHub issue analysis, and all future Pro features. Pricing is subject to change with 30 days' notice to active subscribers.
3.3 Billing
Pro plan subscriptions are billed in advance on a monthly recurring basis through Stripe. By subscribing, you authorize us to charge your payment method on file each billing cycle. All fees are quoted in US dollars and are non-refundable except as required by law or as explicitly stated in these Terms.
3.4 Cancellation
You may cancel your Pro subscription at any time from your account settings. Upon cancellation, your Pro benefits will remain active until the end of the current billing period, after which your account will revert to the Free plan. No prorated refunds are provided for partial billing periods.
3.5 Usage Limits
Recording time is measured from when the bot joins your meeting until it leaves or the meeting ends. If you exceed your plan's monthly recording limit, additional recording requests will be declined until the next billing cycle. Unused recording time does not roll over between months.
4. Acceptable Use
You agree not to use the Service to:
- Record meetings without the knowledge and consent of all participants, or in violation of any applicable recording consent laws.
- Process content that is unlawful, defamatory, harassing, threatening, or that infringes the intellectual property rights of others.
- Attempt to reverse-engineer, decompile, or extract the source code of the Service.
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
- Use automated scripts or bots (other than those provided by the Service) to access the Service.
- Share your account credentials with third parties or allow others to access the Service through your account.
- Circumvent or attempt to circumvent usage limits, billing, or access controls.
- Use the Service for any purpose that violates applicable local, state, national, or international laws.
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
5. Meeting Recording Consent
You are solely responsible for ensuring that you have obtained all necessary consents from meeting participants before using the Service to record any meeting. Recording laws vary by jurisdiction; some require the consent of all parties in a conversation. We are not responsible for any legal consequences arising from your failure to obtain proper consent. The contextprompt bot identifies itself upon joining a meeting, but this does not substitute for your obligation to inform participants and obtain consent.
6. Intellectual Property
6.1 Your Content
You retain all ownership rights to your content, including meeting recordings, transcripts, repository code, and any data you provide to the Service. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you.
6.2 Our Service
The Service, including its design, features, software, documentation, and branding, is owned by contextprompt and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
6.3 AI-Generated Output
Tasks and analysis generated by the Service using AI are derived from your content. You own the output generated from your data. We make no claim of ownership over AI-generated tasks or analysis produced from your meetings and repositories.
7. Data Processing
Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that:
- Meeting audio and transcripts are processed by Recall.ai and our servers.
- Transcript and repository data are sent to the Anthropic Claude API for AI analysis.
- Payment data is processed by Stripe.
- We store meeting data, transcripts, and extracted tasks in our database for your continued access.
8. Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that negatively affect your use of the Service.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that transcriptions or AI-generated tasks will be accurate, complete, or error-free.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
- Our total liability for any claims arising from these Terms or your use of the Service is limited to the amount you have paid us in the 12 months preceding the claim, or $100, whichever is greater.
10. Indemnification
You agree to indemnify, defend, and hold harmless contextprompt and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including recording consent laws.
11. Termination
11.1 By You
You may delete your account at any time through your account settings or by contacting us at [email protected]. Upon deletion, your data will be removed in accordance with our Privacy Policy.
11.2 By Us
We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. For other reasons, we will provide 30 days' notice before termination. Upon termination, your right to use the Service ceases immediately.
11.3 Effect of Termination
Upon termination, we may delete your data after a 30-day grace period. Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply.
12. Dispute Resolution
Any disputes arising from these Terms or your use of the Service will first be addressed through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may pursue binding arbitration or litigation. You agree that any legal proceedings will be conducted on an individual basis, not as part of a class or representative action.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts located in Delaware for any disputes not subject to arbitration.
14. Changes to These Terms
We may revise these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and delete your account.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and contextprompt regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
